The President shall be the principal executive officer of the Corporation and, subject to the control of the Board of Directors, shall supervise the affairs of the Corporation, serve as or designate the presiding officer at the annual meeting of the Members in the absence of the Chairperson of the Board and may appoint representatives to affiliate organizations and establish committees to consider matters of importance to the Corporation. The President shall keep the Board of Directors informed of actions and seek their guidance on matters of major importance.
The President may sign deeds, mortgages, bonds, contracts, or other instruments which the Board of Directors has authorized to be executed, except in the cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or by these bylaws to some other officer or agent of the Corporation or shall be required by law to be otherwise signed or executed. In general, the President shall perform all duties incident to his/her office and such other duties as may be prescribed by resolution of the Board of Directors from time to time.
